These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services operated by NextWave Technology Ltd (“NextWave,” “we,” “us,” or “our”), including but not limited to software development, web applications, APIs, and related support. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.
We provide custom software solutions, consulting, and managed services. Specific features, timelines, and deliverables may be further described in a proposal, statement of work (SOW), service order, or master services agreement (MSA). Unless stated otherwise, services are provided on an “as-is” and “as available” basis.
You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You must promptly notify us of any suspected unauthorized access. You agree not to share credentials or circumvent security controls.
For card or online payments, we may use trusted processors (e.g., Paystack). By paying, you agree to their terms and policies.
We retain all rights, title, and interest in our pre-existing IP, templates, libraries, brand assets, and know-how. Unless your SOW/MSA states a different licensing model, deliverables are licensed to you for your internal business use. You may not remove proprietary notices, reverse engineer, or resell our IP without written permission.
You represent that you have all necessary rights to the materials, data, and content you provide and that your content does not infringe, violate, or misappropriate any third-party rights or applicable laws. You grant us a limited license to use your content solely to provide the services.
Our services may integrate with third-party platforms. Your use of those platforms is governed by their terms and policies. We are not responsible for third-party actions, availability, or performance.
Except as expressly stated in a signed agreement, the services are provided “as-is” and “as available,” without warranties of any kind, whether express, implied, or statutory (including merchantability, fitness for a particular purpose, and non-infringement). We do not warrant uninterrupted or error-free operation.
To the fullest extent permitted by law, in no event will NextWave be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill, even if advised of the possibility. Our aggregate liability arising out of or relating to the services will not exceed the amounts paid by you to us for the services giving rise to the claim during the twelve (12) months prior to the event.
Some jurisdictions do not allow certain limitations; where prohibited, the above limitations may not apply.
You agree to defend, indemnify, and hold harmless NextWave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the services, your content, or your violation of these Terms or applicable law.
We may suspend or terminate access to the services immediately if you breach these Terms or if required by law. Upon termination, the rights and licenses granted to you will cease, except for provisions that by their nature should survive (including payment obligations, IP rights, disclaimers, and limitations of liability).
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. Venue and jurisdiction for any dispute will lie in competent courts within Nigeria.
We may update these Terms from time to time. Changes are effective when posted on this page with the “Effective date” above. Your continued use of the services after changes become effective constitutes acceptance.
